Terms of Service

Please read these Terms carefully before using BahnIQ. By creating an account or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the BahnIQ Highway Capacity Intelligence Platform, including all software, analytical tools, data processing services, APIs, reports, documentation, and related services (collectively, the "Service"), operated by BahnIQ ("we," "us," or "our").

By registering for an account, clicking "I agree," accessing, or using the Service in any way, you confirm that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into a binding agreement; (c) if you are accepting these Terms on behalf of an organization, agency, or firm, you have the authority to bind that organization to these Terms; and (d) you agree to be fully bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

BahnIQ is a professional highway capacity intelligence platform that provides transportation agencies, municipalities, metropolitan planning organizations (MPOs), and engineering consultants with:

The Service is provided on a subscription basis. The features and usage limits available to you depend on your active subscription plan. We reserve the right to modify, enhance, or discontinue specific features of the Service with reasonable notice.

3. Account Registration and Security

To access the Service, you must create an account. You represent and warrant that all registration information you provide is accurate, complete, and current. You agree to keep this information up to date throughout the term of your account.

You may not share your account credentials with any other individual or allow any other person to access the Service using your account. Each individual user must maintain a separate account. We reserve the right to suspend or permanently terminate accounts that provide false registration information, are used by multiple individuals, or are otherwise used in violation of these Terms.

4. Subscriptions and Billing

4.1 Free Trial

We may offer a 30-day free trial for new subscribers. The trial begins on the date you complete checkout. At the end of the trial period, your subscription will automatically activate and your payment method on file will be charged the applicable plan rate unless you cancel before the trial period expires. We will send a reminder notification before your trial ends. No charge is made during the trial period itself.

Free trials are available only once per user and once per organization. We reserve the right to verify eligibility and to deny or revoke trial access at our discretion if we have reason to believe these limitations are being circumvented.

4.2 Subscription Plans and Entitlements

The Service is available under tiered subscription plans. Plan entitlements — including the number of highway segments you may analyze per billing period, the number of concurrent projects, access to specific features, and export capabilities — are defined on the pricing page and in any applicable enterprise agreement. We reserve the right to modify plan entitlements with at least 30 days' advance notice to existing subscribers.

4.3 Payment Processing

All payments are processed securely through Stripe, Inc. By providing payment information and subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring monthly basis at the rate applicable to your selected plan. All fees are denominated in US Dollars. Stripe's terms of service govern the payment relationship between you and Stripe.

You are responsible for ensuring that your payment method remains valid and has sufficient funds or credit. We are not responsible for any overdraft fees, bank charges, or declined payment consequences that may arise from your payment method.

4.4 Failed Payments and Grace Period

If a scheduled payment fails, we will retry the charge according to Stripe's automatic retry schedule (typically over 4–7 days). During this period, you will receive email notifications regarding the failed payment. If all retry attempts fail, your subscription will be canceled and your access to paid plan features will be downgraded. Outstanding amounts remain due and we reserve the right to pursue collection of unpaid fees.

4.5 Cancellation

You may cancel your subscription at any time through the Account page. Cancellation takes effect at the end of the current billing period. You will retain access to your paid plan features until that date. After cancellation, your account will revert to the free tier (if applicable) or be deactivated. We do not provide prorated refunds for unused time in a billing period except as required by applicable law.

4.6 Refunds

All fees are generally non-refundable except: (a) as required by applicable consumer protection law; (b) where we have materially failed to deliver the Service as described and have not resolved the issue within a reasonable timeframe after notice from you; or (c) as expressly agreed in a written enterprise agreement. Refund requests should be submitted to legal@bahniq.com within 14 days of the relevant charge.

4.7 Price Changes

We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' advance written notice of any price change to existing subscribers via email to the address on file. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the new price takes effect.

4.8 Taxes

Subscription fees do not include taxes, levies, or duties imposed by any taxing authority. You are responsible for all applicable sales, use, value-added, or other taxes associated with your use of the Service, except for taxes based on our net income. We may collect applicable taxes where required by law.

5. Acceptable Use Policy

You agree to use the Service solely for its intended professional transportation engineering and planning purposes, and in compliance with all applicable federal, state, local, and international laws and regulations. You represent that you have the necessary rights, licenses, and permissions with respect to any data you submit to the Service.

6. Professional Use and Engineering Disclaimer

The Service is designed as a decision-support tool for qualified transportation professionals. The outputs generated by BahnIQ — including Level of Service grades, deficiency flags, improvement proposals, cost estimates, and report narratives — are provided to assist professional judgment, not to replace it.

BahnIQ outputs do not constitute signed engineering documents, sealed reports, regulatory determinations, or official agency approvals. Any analytical results, proposals, or reports generated by the Service must be reviewed, validated, and, where required by applicable law, certified or sealed by a licensed professional engineer before they are used for construction, procurement, regulatory submission, or public-facing communications.

You are solely responsible for: (a) the accuracy and completeness of all input data you provide; (b) the professional review and validation of all outputs; (c) compliance with your agency's or firm's quality assurance and engineering review procedures; and (d) any decisions, actions, or submissions based on Service outputs.

The cost estimates generated by the Service are preliminary planning-level figures based on generalized unit cost data and are not intended to substitute for detailed engineer's estimates, contractor bids, or procurement documents.

7. Data and Content

7.1 Ownership of Your Data

You retain all ownership rights in the traffic data, geometric inputs, project files, and other content you upload, enter, or generate through the Service ("Your Data"). These Terms do not transfer any ownership of Your Data to BahnIQ.

7.2 License to Process Your Data

By submitting Your Data to the Service, you grant BahnIQ a limited, non-exclusive, worldwide, royalty-free license to store, reproduce, process, transmit, and display Your Data solely as necessary to provide, operate, and maintain the Service for your use. This license terminates when you delete Your Data or close your account, subject to our data retention obligations.

7.3 Aggregated and Anonymized Data

We may generate aggregated, de-identified, and anonymized statistical data derived from usage of the Service (for example, "analyses were run on X corridor segments during period Y"). Such data does not identify any individual user, organization, or specific project. We may use this aggregated data for product improvement, research, and business analytics, and may share it with third parties in aggregated, non-identifiable form.

7.4 Data Accuracy

You represent and warrant that you have the right to upload and process Your Data through the Service, and that doing so does not violate any applicable law, contractual obligation, or third-party rights. You are solely responsible for the accuracy, quality, and appropriateness of Your Data. We make no representations as to the accuracy of outputs derived from inaccurate or incomplete input data.

7.5 Data Security and Backup

We implement commercially reasonable security measures to protect Your Data as described in our Privacy Policy. However, we are not a backup or archival service. You are responsible for maintaining your own independent copies of critical project data. We are not liable for any loss of data resulting from hardware failure, software errors, or other causes beyond our reasonable control.

7.6 Government Data Handling

If you are a government agency or a contractor processing data on behalf of a government agency, you represent that you have reviewed and complied with all applicable data governance, information security, and records management requirements applicable to the data you upload. You are responsible for ensuring that BahnIQ's infrastructure and data handling practices meet any agency-specific security standards required before uploading sensitive transportation data.

8. Intellectual Property

8.1 BahnIQ's Intellectual Property

The Service, including all underlying software, analytical engines, algorithms, methodologies, user interface designs, graphics, text, and branding (including the BahnIQ name and logo), is owned by BahnIQ or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Service beyond the limited license to use it as described herein.

8.2 Feedback

If you provide us with suggestions, ideas, enhancement requests, bug reports, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Service or other products without any obligation of compensation, attribution, or confidentiality to you. You represent that you are entitled to provide such Feedback and that it does not infringe any third-party rights.

8.3 Open Source Components

The Service may incorporate open-source software components, each subject to its own license terms. These open-source licenses are not affected by these Terms. A list of material open-source components and their licenses is available upon request.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties or use it for any purpose other than performing its obligations or exercising its rights under these Terms.

This obligation does not apply to information that: (a) is or becomes publicly available without breach of these Terms; (b) was already known to the receiving party before disclosure; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by applicable law, regulation, or court order, provided that the receiving party gives the disclosing party reasonable prior notice and cooperates to seek a protective order.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where practicable. The Service may be temporarily unavailable due to unscheduled maintenance, infrastructure issues, or circumstances beyond our control.

We will make reasonable efforts to notify registered users of planned outages of more than 30 minutes via email or in-platform notice. We do not provide service level agreement (SLA) uptime guarantees under standard subscription plans. Enterprise customers with SLA requirements should contact us to discuss a custom agreement.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAHNIQ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

THE ANALYTICAL OUTPUTS, IMPROVEMENT PROPOSALS, COST ESTIMATES, AND REPORTS GENERATED BY THE SERVICE ARE PROVIDED FOR PROFESSIONAL DECISION-SUPPORT PURPOSES ONLY AND DO NOT CONSTITUTE CERTIFIED ENGINEERING OPINIONS, REGULATORY APPROVALS, OR CONSTRUCTION DOCUMENTS. RELIANCE ON SUCH OUTPUTS WITHOUT INDEPENDENT PROFESSIONAL REVIEW IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

BAHNIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY RELIANCE ON ANALYTICAL OUTPUTS OR REPORTS GENERATED BY THE SERVICE; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless BahnIQ and its officers, directors, employees, contractors, licensors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

14. Termination and Suspension

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through the Account page or by contacting support@bahniq.com. Termination by you does not entitle you to a refund of any prepaid fees for the current billing period.

14.2 Termination or Suspension by Us

We may suspend your access to the Service immediately, with or without notice, if we have reasonable grounds to believe that you have materially breached these Terms, engaged in fraudulent activity, or created risk or legal exposure for BahnIQ or other users. We may permanently terminate your account if a breach is not cured within a reasonable time after notice, or if the breach is incapable of cure.

14.3 Effect of Termination

Upon termination for any reason: (a) your right to access and use the Service ceases immediately; (b) we may delete Your Data from our systems after the applicable retention period described in our Privacy Policy; (c) all payment obligations that accrued before termination remain due. Provisions that by their nature should survive termination will do so, including Sections 6, 8, 9, 11, 12, 13, and 16.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at legal@bahniq.com and provide a written description of the dispute, including your contact information and the nature of the claim. We agree to attempt in good faith to resolve the dispute informally within 30 days of receiving your notice.

15.2 Governing Law

These Terms and any dispute arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which BahnIQ is incorporated, without regard to conflict of law principles that would require application of any other jurisdiction's laws.

15.3 Jurisdiction and Venue

For disputes not subject to informal resolution and where arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in BahnIQ's state of incorporation, and you waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.

15.4 Government Agency Users

If you are using the Service on behalf of a government agency, nothing in these Terms shall be construed to waive any sovereign immunity protections applicable to that agency. Government users are subject to the additional provisions in Section 17.

15.5 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except as set forth in Section 15.7, you and BahnIQ agree that any and all disputes, controversies, or claims arising out of or relating to these Terms, the Service, your account, or the relationship between you and BahnIQ — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory — shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or Consumer Arbitration Rules where applicable), as modified by these Terms. The arbitration shall be conducted in the English language.

The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could award, including injunctive relief, declaratory relief, and attorneys' fees where authorized by law. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Nothing in this arbitration clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of an arbitration proceeding.

If the AAA is unavailable or unwilling to administer the arbitration, either party may petition a court of competent jurisdiction to appoint an alternative arbitration administrator. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement. Each party shall bear its own attorneys' fees and costs in arbitration, except as otherwise awarded by the arbitrator or required by law. The costs of arbitration, including the arbitrator's fees, shall be shared equally between the parties unless the arbitrator determines that the allocation is unjust. Filing fees shall initially be paid by the party initiating the claim.

You may opt out of this arbitration agreement by sending written notice to legal@bahniq.com within 30 days of first accepting these Terms. Your opt-out notice must include your full name, email address associated with your account, and a clear statement that you are opting out of the arbitration agreement. If you opt out of this arbitration agreement, BahnIQ is also not bound to arbitrate claims against you.

15.6 Class Action and Jury Trial Waiver

YOU AND BAHNIQ EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. YOU AND BAHNIQ EACH EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION.

IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND BAHNIQ EACH WAIVE ANY RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. ALL SUCH PROCEEDINGS SHALL BE TRIED BEFORE A JUDGE SITTING WITHOUT A JURY.

If a court of competent jurisdiction finds that the class action waiver in this section is unenforceable with respect to any particular claim or request for relief, the parties agree that such claim or request for relief shall be severed from the arbitration proceeding and may proceed in court, while all other claims remain subject to arbitration on an individual basis.

15.7 Exceptions to Arbitration

Notwithstanding the foregoing, either party may: (a) bring an individual claim in small claims court for disputes that qualify under that court's jurisdictional limits; (b) seek emergency injunctive or other equitable relief in any court of competent jurisdiction for claims involving actual or threatened infringement, misappropriation, or violation of intellectual property rights, trade secrets, or confidential information; or (c) seek relief in court to enforce a valid arbitration award.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable enterprise agreement or order form, constitute the entire agreement between you and BahnIQ with respect to the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the subject matter hereof.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from the Terms. The remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms on one occasion shall not constitute a waiver of our right to enforce that provision on any future occasion. No waiver by BahnIQ of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets, provided that the assignee assumes our obligations under these Terms.

16.5 Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, cyberattacks by third parties, government actions, utility failures, internet infrastructure failures, or pandemic. The affected party shall provide prompt notice and shall resume performance as soon as reasonably practicable.

16.6 Export Compliance

The Service is subject to United States export control laws and regulations. You represent that you are not located in, or acting on behalf of an entity in, a country that is subject to a US government embargo, and that you are not listed on any US government list of prohibited or restricted parties. You agree to comply with all applicable export and import laws and regulations in connection with your use of the Service.

16.7 Notices

We may provide notices to you by email to the address associated with your account, by in-platform notification, or by posting a notice on this website. You may provide notices to us by email to legal@bahniq.com. Notices sent by email are deemed received 24 hours after transmission, unless the sending party receives an automated delivery failure notice.

16.8 No Third-Party Beneficiaries

These Terms are entered into solely between you and BahnIQ for the benefit of the parties hereto. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms. The parties expressly acknowledge that these Terms are not intended to benefit any third party, including any government agency, regulator, or end user of reports generated using the Service.

16.9 Relationship of the Parties

The relationship between you and BahnIQ is that of independent contracting parties. Nothing in these Terms creates or shall be construed to create any partnership, joint venture, agency, franchise, sales representative, fiduciary, or employment relationship between you and BahnIQ. You have no authority to make or accept any offers or representations on BahnIQ's behalf. You will not make any statement, whether on your website or otherwise, that reasonably would contradict the status of the parties as independent contractors.

16.10 Limitation Period for Claims

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. This limitation applies regardless of whether the claim is based in contract, tort, statute, or any other legal or equitable theory. The parties agree that this limitation period is reasonable given the nature of the Service and the commercial relationship between the parties.

16.11 Electronic Agreements and Communications

You consent to receive communications from BahnIQ in electronic form. We may provide notices, disclosures, and other information to you electronically, including by email to the address associated with your account or by posting notices within the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law. You may withdraw consent to electronic communications by closing your account, provided that withdrawal of consent will not affect the validity of any agreement or transaction entered into prior to such withdrawal.

16.12 Anti-Corruption and Compliance

Each party represents and warrants that it has not received, nor has it been offered, and it will not accept or offer, directly or indirectly, any illegal bribe, kickback, payment, gift, or other thing of value from or to any person in connection with the Service. Each party agrees to comply with all applicable anti-bribery and anti-corruption laws, including the United States Foreign Corrupt Practices Act (FCPA) and, where applicable, the UK Bribery Act 2010. If either party discovers any potential violation of this provision, it shall promptly notify the other party and take all appropriate corrective action.

16.13 Headings and Interpretation

Section headings in these Terms are for convenience of reference only and shall not affect the interpretation of any provision. As used in these Terms: (a) "including" means "including without limitation"; (b) "or" is used in the inclusive sense of "and/or"; (c) references to "days" mean calendar days unless otherwise specified; (d) references to a statute or regulation include all amendments thereto and successor provisions; and (e) the singular includes the plural and vice versa where the context so requires.

17. Government and Institutional Customers

Where BahnIQ is accessed under an enterprise agreement or by a state or local government agency, the following additional terms apply to the extent they are not inconsistent with that agreement:

18. Third-Party Services and Integrations

18.1 Third-Party Providers

The Service integrates with or relies upon certain third-party services, including but not limited to Stripe, Inc. for payment processing, Google Firebase for authentication, and data providers for road network and traffic information. Your use of those third-party services is subject to their respective terms of service and privacy policies. BahnIQ is not responsible for the accuracy, reliability, availability, or legal compliance of any third-party service, and we make no representations or warranties regarding any third-party service.

18.2 Third-Party Data Sources

The Service may incorporate data sourced from federal, state, and local government databases, including but not limited to the National Performance Management Research Data Set (NPMRDS), Federal Highway Administration (FHWA) databases, HERE Technologies road network data, and other licensed or publicly available transportation datasets. BahnIQ has no control over the content, privacy practices, or availability of linked third-party resources, and we accept no responsibility for any loss or damage that may arise from your use of them.

18.4 No Endorsement of Standards Bodies

References in the Service to standards published by AASHTO, FHWA, TRB, or other standards bodies do not constitute any endorsement of the Service by those organizations, nor does BahnIQ claim any affiliation with or approval from such bodies. Users are responsible for obtaining and consulting the official published editions of any referenced standards.

19. DMCA and Copyright Policy

19.1 Notification of Claimed Infringement

BahnIQ respects the intellectual property rights of others and expects users of the Service to do the same. If you believe in good faith that content made available through the Service infringes a copyright you own or control, you may submit a written notification of claimed infringement to our designated copyright agent pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"). Your written notification must include all of the following:

19.2 Counter-Notification

If content you submitted was removed or disabled in response to a DMCA notice and you believe that removal was in error (for example, because you have authorization to use the content or the content is not infringing), you may submit a written counter-notification to our designated copyright agent. Your counter-notification must include: (a) your physical or electronic signature; (b) identification of the content that has been removed; (c) a statement under penalty of perjury that you have a good faith belief that the content was removed as a result of mistake or misidentification; and (d) your name, address, telephone number, email address, and a statement that you consent to the jurisdiction of the federal court in your district and will accept service of process from the person who provided the original DMCA notification.

19.3 Repeat Infringers

BahnIQ will terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers of copyrights or other intellectual property rights.

20. Accessibility and Non-Discrimination

BahnIQ is committed to making the Service accessible to users with disabilities, consistent with the requirements of Section 508 of the Rehabilitation Act and the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA, where technically practicable. If you experience accessibility barriers when using the Service, please contact us at support@bahniq.com so that we may work to provide you with an accessible means of accessing the relevant content or functionality.

BahnIQ does not discriminate against users or applicants on the basis of race, color, national origin, sex, disability, age, or any other characteristic protected by applicable federal or state law. Government agency customers using the Service in connection with federally funded programs are advised that recipients of federal financial assistance are prohibited from discriminating in the delivery of services and benefits under Title VI of the Civil Rights Act, Section 504 of the Rehabilitation Act, and related statutes.

21. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page, post a prominent notice within the Service, and send an email notification to registered users at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should discontinue use of the Service before the effective date of the changes.

22. BahnIQ Rentals

BahnIQ Rentals is a separate subscription product, available at rentals.bahniq.com, that allows users to search rental listings nationwide and receive email alerts for matching properties. The following terms apply specifically to BahnIQ Rentals and supplement the general Terms of Service set out above.

22.1 Separate Product

BahnIQ Rentals is distinct from BahnIQ's main Highway Capacity Intelligence Platform. A BahnIQ Rentals subscription does not grant access to the main BahnIQ platform, and a main BahnIQ subscription does not include access to BahnIQ Rentals, unless otherwise stated.

22.2 Free Trial

New BahnIQ Rentals users are eligible for a 7-day free trial. No payment method is required at signup. At the end of the trial period, continued access requires adding a valid payment method and activating a paid subscription. If you do not provide payment details before the trial expires, your account will be deactivated. Free trials are available once per user.

22.3 Paid Subscription and Billing

After the trial period, BahnIQ Rentals is billed monthly at the rate listed on the Rentals pricing page at the time of subscription activation. Billing recurs automatically each month on the anniversary of your activation date. All payments are processed through Stripe, Inc. in accordance with Section 4.3 of these Terms.

22.4 Cancellation and Refunds

You may cancel your BahnIQ Rentals subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access to Rentals features until that date. No refunds are provided for unused time within a billing period. Partial-month charges are not refunded upon cancellation.

22.5 Listing Data — Informational Use Only

Rental listing data displayed in BahnIQ Rentals is sourced from RentCast and is provided for informational purposes only. BahnIQ makes no warranty, express or implied, regarding the accuracy, completeness, availability, or timeliness of any listing data. Listing information may be outdated, incomplete, or inaccurate. You should independently verify any listing information before making any housing decision. BahnIQ is not a party to any rental transaction and accepts no liability for decisions made in reliance on listing data.

22.6 Prohibited Use of Listing Data

You may not use BahnIQ Rentals to scrape, harvest, download in bulk, redistribute, resell, or otherwise reproduce listing data for any purpose other than your own personal housing search. Automated access to listings, systematic extraction of listing data, or any use of listing data for commercial redistribution is strictly prohibited and constitutes a material breach of these Terms.

22.7 Upgrade to Main BahnIQ Subscription

If you upgrade from a BahnIQ Rentals account to a main BahnIQ platform subscription, your Rentals subscription will be canceled at the end of your current Rentals billing period and your account will be converted to the customer role on the main platform. No prorated credit is provided for unused Rentals subscription time. Access to Rentals features will cease upon conversion.
